Examination and Approval of the Establishment of Wholly-Owned Hospitals in the Chinese Mainland by Investors from Hong Kong Special Administrative Region, Macao Special Administrative Region or Taiwan Region

I. Service Recipients

Natural person; enterprise legal person

II. Basis

Article 9 of the Regulation on the Administration of Medical Institutions (Order No. 149 of the State Council on February 26, 1994): To establish a medical institution, an entity or individual shall be subject to the examination and approval of the health administrative department of the local people’s government at or above the county level and obtain the written approval for the establishment of medical institutions, before undergoing other formalities with relevant departments. Article 53: The measures for the administration of the medical institutions established by foreigners within the territory of the People’s Republic of China and residents of Hong Kong, Macao and Taiwan regions in the Chinese mainland shall be separately developed by the health administrative department of the State Council. Item 1 of Appendix 1 to the Decision of the State Council on Matters Concerning 50 Administrative Approval Items to Be Canceled and Delegated to Lower Levels (G.F. [2013] No. 27): The examination and approval of the establishment of wholly-owned hospitals in the Chinese mainland by investors from Hong Kong Special Administrative Region, Macao Special Administrative Region or Taiwan Region shall be delegated to the health and family planning department at the provincial level.

III. Acceptance Conditions

A service provider applying for the establishment of wholly-owned hospitals shall be a legal person that can independently assume civil liabilities and shall be directly or indirectly engaged in the investment and management of medical institutions, and shall meet any of the following requirements: i. It can provide advanced managerial experience, management models or service models of hospitals; and ii. it can provide internationally advanced medical technologies. The wholly-owned hospital to be established shall meet the following requirements: i. It must be an independent legal person; ii. the total investment shall not be less than RMB50 million for Grade III hospitals, and the total investment shall not be less than RMB20 million for Grade II hospitals; iii. it shall meet the basic standards for hospitals at or above Grade II; and iv. the requirement of total investment for wholly-owned hospitals established inold revolutionary base areas, areas with large ethnic minority populations, border areas, and poverty-stricken areas may be properly lowered.

IV. Application Materials

i. An application for the establishment of a medical institution;

ii. A project proposal;

iii. A feasibility study report;

iv. Certification of the service provider from Hong Kong Special Administrative Region, Macao Special Administrative Region or Taiwan Region;

v. A registration certificate of the legal person, identity certificate of the legal representatives and certificate of creditworthiness issued by a bank;

vi. A report on site selection for a project, architectural plan of the project, and rental certificate of the land use;

vii. The certification materials that the service provider from Hong Kong Special Administrative Region, Macao Special Administrative Region or Taiwan Region can provide internationally advanced managerial experience, management models or service models of hospitals or have internationally advanced medical technologies; and

viii. Opinions of the health administrative departments at the level of a city divided into districts about whether the establishment of the wholly-owned hospital is in conformity with the local plan for the setup of medical institutions.

V. Time Limits for Conclusion

Statutory time limit for the completion of handling: 30 business days

Promised time limit for the completion of handling: 10 business days

VIII. Handling Procedures

i. Acceptance (if the application materials are complete and consistent with the statutory form, the case shall be accepted in the administration examination and approval system after passing the examination);

ii. Review (materials shall undergo professional review and proceed to the re-examination process after passing the preliminary examination);

iii. Special processes (the time required for the expert review shall not be included in the promised time limit for handling the matters); and

iv. Decision (the decision to approve or not to approve the handling of a case according to the re-examination opinions).
